General

By engaging with mpaboafie's WhatsApp Live Chat, you agree to receive automated and personalized support, promotional, and transactional messages via WhatsApp to the number you provide. We may use your chat history and contact details to offer tailored assistance or reminders, processed within Ghana. Consent is not a purchase condition. Message costs may apply per your WhatsApp provider's rates. Message frequency varies, and mpaboafie reserves the right to adjust it or update the WhatsApp Business Account number with notice. Delivery depends on WhatsApp's network; mpaboafie and its providers are not liable for delays. You also agree to our Terms of Use and Privacy Statement. Supported in Ghana via major networks like MTN Ghana, Vodafone Ghana, AirtelTigo, and Glo Mobile.

Cancellation

To stop receiving messages, send STOP, END, CANCEL, UNSUBSCRIBE, or QUIT via WhatsApp to our Business Account number. You will receive a single confirmation message. Unrecognized opt-out requests may not be processed, and mpaboafie and its providers are not liable for such failures. Unsubscribing from one service does not affect other active subscriptions unless separately canceled.

Time for Filing

You and mpaboafie agree that any dispute under these terms must be raised within one (1) year from when the issue was known or should have been known, or it is forfeited. This applies to the fullest extent permitted by Ghanaian law.

Binding Arbitration and Dispute Resolution

Review this Arbitration Agreement carefully, as it mandates individual arbitration with a limited opt-out. Disputes related to WhatsApp Live Chat, services, or content are resolved by: (a) final bilateral arbitration, except as noted; or (b) small claims court individually. Governed by the Arbitration Act 2010 (Act 798) of Ghana, this survives service termination.

  • Disputes: Includes all claims between you and mpaboafie, such as chat usage, support, or prior terms, except for small claims or injunctive relief sought in court.
  • Mandatory Informal Dispute Resolution: Before arbitration, submit a signed Notice of Dispute to the above address, detailing the issue and relief sought. A 60-day negotiation period follows, including a settlement conference if requested. Compliance is required before arbitration, with tolling of limitations.
  • Arbitration Procedures: Unresolved disputes go to bilateral arbitration with a single arbitrator, managed by the Ghana Arbitration Centre (GAC) per its rules, modified here. The initiator must serve a signed demand, certifying compliance. The arbitrator awards individual relief, barring class actions. Costs are per party, with GAC rules on fees. A written decision is enforceable by court.
  • Additional Multiple Case Filing Procedures: For over 25 coordinated claims, a staged process applies: 50 claims proceed initially, then 100 if unresolved, with mediation between stages. Remaining claims are held until selected, with tolling of deadlines.
  • Right to Reject Arbitration: Opt out within 30 days of agreeing by sending a signed notice with your details to the above address. This does not affect other terms or future agreements.
  • Opt Out of Changes: Reject changes to this section within 30 days of notice by sending a signed notice to the above address, specifying your intent.

Class Action Waiver and Jury Trial Waiver

To the fullest extent allowed by law, claims must be individual, not class-based, unless as a guardian. Third-party proceedings are prohibited, except for settlements. Both parties waive jury trials, surviving service termination.

Choice of Law, Venue, and Severability

These terms are governed by Ghanaian law, excluding international sales conventions. Non-arbitrated disputes fall under Accra High Court's exclusive jurisdiction, with consent to venue. Unenforceable provisions are severable, and non-enforcement does not waive rights.

Survival

Rights and obligations under Sections 1, 2, 5, and those extending beyond termination survive service end.
